Any order is to be definitive only after the unconditional acceptance of it by MIDIPY®. Any modification of an ordering shall be binding only if evidenced in a writing signed, and within forty-eight hours following the order. None of any modification will be taken into account after the goods have been dispatched.

The dispatching of goods is made in chronological order of ordering. MIDIPY® is authorized to carry out a partial or a global delivery of the goods, in accordance with its stocks. All goods are to be dispatched within a reasonable time and on no account Client shall be entitled to compensation for a delivery above a reasonable time. And in no case delivery shall occur if Client is failing to pay the total amount of the goods being delivered.

 Our prices are expressed in €, exclusive of tax (unless otherwise agreed to). The invoicing is priced according to the going rate of the day the order was placed (1). Express transportation being extra (2). Unless otherwise agreed to, such prices are subject to change.

In no case MIDIPY® is liable for goods being damaged during transportation, damages being at the expense and liability of the transporter. When noticing a manufacturing fault or a mismatch with the original order, Client promises and agrees to notify MIDIPY® with a registered letter within eight days following the receipt of the goods. After the period mentioned hereby no return or exchange of the goods will be accepted.

All sales are to be paid at the order. The amount of invoice can be shared in two payments 50/50. If failing to pay, the parties agree that damages at law will be insufficient remedy if Client violates a material term or condition of this Article. Accordingly, it is agreed that MIDIPY® shall be entitled, upon application to a court of competent jurisdiction, to obtain injunctive relief to enforce the provisions of this Agreement and that such injunctive relief should be in addition to any other rights or remedies available to MIDIPY®.

MIDIPY® reserves the right to add any modification necessary to the improvement of the supply and/or the quality of its products. Our products being hand-crafted, in no way MIDIPY® guaranties an exact likeness between goods of the same range. Placing an order acknowledges this eventual difference.

It is agreed that this Agreement shall be governed by, constructed, and enforced in accordance with the laws of the city of Toulouse in France.
